Vice President, Commercial Lawyer

Role Summary

An opportunity has arisen for approximately 5 PQE lawyer to join Markit’s legal team. Markit is the leading provider of independent, multi-asset class, high value services for the global financial market. Markit services are used by nearly 1000 global financial firms. Clients include commercial and investment banks, hedge funds, rating agencies, regulators, asset managers, insurance companies and more in over 30 countries.

In this role, you will independently negotiate and draft contracts with investment banks, asset managers and hedge funds, draft agreements that would deal with new areas and initiatives that Markit expands into and assisting with the integration of recently acquired businesses. You will also prepare complex and bespoke agreements and undertake any other ad-hoc projects that may arise. You will work as a part of a team that will encourage you to learn, develop and question its practices, in pursuit of the best and the most flexible legal infrastructure possible.

Duties and Accountabilities

The primary responsibilities will include support to a rapidly growing global business:

  • Provision of legal services and advice to offices in New York, London, Amsterdam, Tokyo and Singapore;
  • Advising across a range of commercial legal topics including licensing, IP and general contractual issues;
  • Negotiating, reviewing and drafting contracts pertaining to the facilitation of the business;
  • Analysing, evaluating and providing input to new product proposals with a view to identifying and highlighting possible business and legal risks to management;
  • Drafting and implementing legal documentation structures for businesses such as licence agreements for new business initiatives and products;
  • Drafting bespoke commercial agreements for the business;
  • To work on the efficient administration of post-acquisition integration of companies and execution of corporate actions; and
  • To assist in the identification, management and control of legal and related operational risks. These include commercial business and intellectual property risks and changes in the legal or regulatory environment which Markit’s businesses operate in.

Business Competencies

  • Qualified lawyer in England and Wales or a comparative jurisdiction with good academics and a good knowledge of contract and commercial law;
  • Experience in financial services industry or knowledge in intellectual property law will be an advantage
  • Experience in managing projects independently
  • Commercial Awareness: Strong commercial/pragmatic sense and understanding of business needs.
